• Creation of a teaser and an information memorandum
• Set up of a virtual data room (in case of a sell-side project)
• Preparation of a process letter, suggestions for milestones
• Co-ordination of the due diligence process
  • Sell-side: primarily the Q&A-Process
  • Buy-side: co-ordination of the various due diligence work streams – performing the financial due diligence in co-operation with auditors and tax advisors
  • Converting the findings of the DD into the structure of the transaction,  the offer and the drafting of the contract
  • Effective interaction with legal and tax advisors
